Terms and Conditions for VS1 Solutions Ltd

1. Definitions

Agency: Refers to VS1 Solutions Ltd, a temporary staffing agency.

Client: Refers to the company or organization engaging the services of the Agency's temporary workers.

Temporary Worker: Refers to the individual(s) provided by the Agency to perform services for the Client.

Assignment: The period during which the Temporary Worker provides services to the Client under these Terms and Conditions.

2. Services Provided

The Agency agrees to provide temporary staffing services to the Client, matching the skills and qualifications of the Temporary Worker to the requirements specified by the Client.

The Temporary Worker shall perform duties for the Client in accordance with the assignment brief provided at the time of engagement.​

3. Billing and Payment Terms
-
The Client agrees to pay the Agency for the services provided by Temporary Workers based on the agreed hourly or daily rates.

Invoice Terms: The Agency will issue invoices to the Client on a weekly/monthly basis (depending on agreement) detailing the hours worked by the Temporary Worker(s) during the period.

Payment terms are 7 days from the date of the invoice.

In the event of late payment, the Agency reserves the right to charge interest at the rate of 10% per week, calculated on a daily basis, until full payment is received.

Any disputes regarding invoices must be notified to the Agency within 5 days of receipt of the invoice, otherwise the invoice will be deemed accepted by the Client.

4. Responsibility for Taxes and National Insurance

Temporary Workers provided by the Agency are self-employed or contract workers and are responsible for their own tax liabilities, National Insurance contributions, and any other deductions required by law.

The Client shall not be responsible for making tax or National Insurance deductions for Temporary Workers, unless explicitly agreed in writing with the Agency.

5. Temporary Worker Obligations

The Temporary Worker shall maintain accurate records of hours worked and provide these records to the Agency for invoicing purposes.

The Temporary Worker shall ensure compliance with all applicable laws, including but not limited to tax and employment regulations, during the course of the assignment.

6. Client Obligations

The Client shall provide the Temporary Worker with a safe working environment and ensure compliance with relevant health and safety legislation.

The Client shall notify the Agency immediately if the Temporary Worker is unsuitable for the assignment, providing reasons for unsuitability.

7. Liability

The Agency shall not be liable for any direct or indirect loss, damage, or injury arising from the Temporary Worker’s performance during the assignment, except where the Agency has failed to exercise reasonable care in selecting the Temporary Worker.

The Client agrees that it is solely responsible for supervising the Temporary Worker during the assignment.

8. Conversion of Temporary Workers to Permanent Employment

Should the Client wish to offer permanent employment to a Temporary Worker provided by the Agency, the Client agrees to notify the Agency in advance.

A conversion fee will apply, which will be calculated as a percentage of the Temporary Worker’s first-year annual salary, unless otherwise agreed upon.

9. Termination

Either the Client or the Agency may terminate an assignment with 5 days' notice, unless otherwise agreed in writing.

If a Temporary Worker is deemed unsuitable for the assignment, the Client may terminate the assignment immediately, and the Agency will endeavour to find a suitable replacement.

10. GDPR Compliance

The Agency is committed to complying with the General Data Protection Regulation (GDPR) and ensures that all personal data collected, processed, and stored by the Agency will be handled in accordance with applicable data protection laws.

The Agency will only collect personal data from Clients and Temporary Workers necessary for the performance of its staffing services.

Personal data will not be shared with third parties without the explicit consent of the data subject, except where required by law.

Clients and Temporary Workers have the right to access, correct, or request the deletion of their personal data held by the Agency.

11. Confidentiality

The Client agrees to keep confidential any personal or business information about the Temporary Worker and the Agency, including rates, terms, and business practices.

The Agency agrees to maintain the confidentiality of the Client's business operations and the Temporary Worker’s personal data.

12. Governing Law

These terms and conditions shall be governed by and construed in accordance with the laws of [Jurisdiction/Country], and any disputes arising under these terms shall be subject to the exclusive jurisdiction of the courts of [Jurisdiction/Country].

13. General

The Agency reserves the right to amend these Terms and Conditions at any time, with 5 days' written notice to the Client.

No variation of these Terms and Conditions shall be effective unless agreed in writing by both parties.

Acceptance
By engaging the Agency’s services, both the Worker and the Client agree to these Terms and Conditions.
